1. General Provisions
This document is a public offer by Individual Entrepreneur Orest Mykolaiovych Kostiuk, hereinafter the “Provider”, to enter into an agreement for the provision of Scalendar digital services with an individual or legal entity accepting this offer, hereinafter the “Customer”.
Scalendar is a meeting scheduling and booking service available at scalendar.bitbrothers.dev. The Ukrainian version of this offer is legally controlling. The English version is its translation.
2. Definitions
• Service means the Scalendar website and software through which a user creates booking pages and links, configures available time slots, events, event lists, teams, time off and integrations.
• User means a person who has created a Scalendar account or uses its features.
• Guest means a person who opens a booking link and submits a meeting request, including without creating an account.
• Plan means a set of Service features and limits, free or paid, with its description and price published in the Service.
• Acceptance means full and unconditional acceptance of this offer in the manner set out in section 4.
3. Subject of the Agreement
The Provider gives access to Scalendar's digital features: creating and sharing booking links; configuring duration, availability, locations, recurring bookings, event lists, teams and time off; receiving and managing meeting requests; synchronization with Google Calendar, creation of calendar events and, at the user's choice, Google Meet links; notifications by e-mail and a connected Telegram bot; and other features shown in the selected Plan.
Free features are available within the free Plan. Paid features are provided according to the plans and prices published in the Service when payment is initiated.
The Provider supplies a technical scheduling tool and is not a party to arrangements between a User and a Guest concerning the meeting, consultation, service or other activity for which a booking is created.
4. Acceptance of the Offer
Under Articles 638, 641 and 642 of the Civil Code of Ukraine, this offer contains the essential terms of the agreement. For a paid Plan, successful payment constitutes full and unconditional acceptance. For free use, creating an account or actually using the Service constitutes acceptance.
Acceptance confirms that the Customer has read, understood and agrees to comply with this offer and the Privacy Policy. The agreement is deemed concluded electronically without a paper copy being signed.
5. Price and Payment
The Plan's contents, price, billing period and applicable limits are displayed before payment. Prices are stated in Ukrainian hryvnias. Paid Scalendar Plans are paid through Monobank Acquiring; a payment is successful when its status is confirmed by Monobank and reflected in the Service.
Paid bookings are separate transactions between the Guest and the organizing user. Where an organizer connects their own Monobank payment profile, payment for that booking goes directly to the account of the recipient selected by the organizer. The Provider does not receive those funds and is not the seller of the organizer's service.
6. Service Delivery and Refunds
Access to a paid Plan is activated after successful payment is confirmed. The features, limits and pricing period are defined in the Plan description. Scalendar does not store card details or make automatic repeat charges unless that option is separately and unambiguously offered to and accepted by the user. The Customer is responsible for the accuracy of payment details and sufficient funds; card details are entered on Monobank's side.
To request a refund of a Scalendar Plan payment, the Customer sends the account e-mail, date, amount and payment identifier to kostiuk.orest.m@gmail.com. The Provider considers the circumstances, the actual amount of access already provided and applicable law. An approved refund is made through the payment provider to the original payment method; the crediting time depends on the bank and payment system.
A refund for a paid booking must be agreed with the organizer whose account received the payment. Scalendar may provide available technical information about payment status but does not control the organizer's funds.
7. Rights and Obligations of the Parties
The Provider gives access to the features of the selected Plan, takes reasonable measures to operate the Service reliably and securely, remedies confirmed technical errors and handles Customer requests.
The Customer must provide accurate information, protect account and connected-integration credentials, configure correct availability and time zone, verify created bookings and calendar events, have the necessary rights to submitted materials and personal data, and use the Service lawfully and with respect for the rights of others.
A User accepting bookings independently determines the content, price, delivery and cancellation terms of their own services and remains responsible to the Guest for their performance.
8. Prohibited Conduct
It is prohibited to bypass authentication, Plan limits or security controls; interfere with the Service; distribute malicious code; collect data in bulk or by automated means without written permission; use the Service for spam, fraud or unlawful activity; infringe intellectual property or privacy rights; or upload or transmit data without a proper legal basis.
The Provider may restrict or terminate access as necessary to stop a violation, protect users or the Service, or comply with a legal requirement.
9. Liability and Service Limitations
The parties are liable for breach of the agreement under Ukrainian law. To the extent permitted by law, the Service is provided “as is” and “as available”. The Provider does not guarantee that a published link will result in a booking, that a Guest or organizer will attend a meeting, or that a third-party service will be performed properly.
Calendar synchronization, Google Meet, Telegram notifications and payments depend on the availability and rules of the relevant third-party services. The Provider is not liable for disruptions, changes or restrictions on their side, but takes reasonable measures to restore the Provider's own part of the Service.
To the extent permitted by law, the Provider is not liable for indirect loss, lost profit, acts of Users or Guests, or incorrectly configured availability, time zone or integrations. This does not limit liability that cannot legally be excluded or the obligation to provide a paid Plan according to its description.
10. Third-Party Services and Booking Relationships
Google, Telegram and Monobank provide their own services under their respective terms and policies. By connecting an integration or proceeding to a payment page, a user also interacts with the relevant third-party provider.
Scalendar is not a representative, agent, partner or employer of an organizer or Guest. Disputes about the content, quality, cancellation or price of an organizer's meeting or service must be resolved directly between them, except for matters concerning the operation of the Scalendar Service itself.
11. Requests, Complaints and Disputes
Requests and complaints concerning Scalendar should be sent to kostiuk.orest.m@gmail.com. Include the account e-mail, a description of the expected and actual result and, where available, the booking or payment identifier. Requests are handled on business days, usually within 3 business days.
The parties first attempt to resolve a dispute through negotiation. If that is not possible, the dispute is resolved under Ukrainian law in the manner prescribed by it.
12. Term and Changes to the Offer
The offer takes effect when published. The Provider may amend it by publishing the current version on this page. A new version applies when published unless it specifies a later date and does not retroactively change the terms of a payment already confirmed or the access provided for it.
Continued use of the Service after changes take effect means acceptance of the updated offer. If the Customer disagrees with the changes, the Customer must stop using the Service and not initiate a new payment.
